Terms of Service

1. Parties
These Terms of Service ("Terms") constitute a legally binding agreement between Escapra OY, a company registered in Finland with its registered office at Rummunlyöjänkatu 11 E 034, 02600 Espoo, Finland ("Escapra", "we", "us") and the business entity accessing or using the Escapra platform ("Customer", "you"). By registering for or using the Escapra platform, you confirm that you have authority to bind your organisation to these Terms.
2. The Platform
Escapra provides a B2B hotel connectivity and distribution infrastructure platform that enables: • Direct connectivity between hotel Property Management Systems (PMS) and travel partners via a unified API • Real-time hotel inventory, rate, and availability data exchange • Booking creation, modification, and cancellation services • Wallet, payment, and commission management The Platform is strictly business-to-business. Consumer-facing hotel booking is not within scope.
3. Account Registration
To access the Platform you must complete Escapra onboarding including company verification, know-your-business (KYB) checks, acceptance of these Terms, and execution of a commercial agreement setting out your pricing and access tier. You are responsible for the security of your credentials and API keys. Report suspected unauthorised access immediately to support@escapra.com.
4. Acceptable Use
You must not: • Resell or white-label the Platform without written consent from Escapra • Circumvent rate limits, access controls, or security measures • Use the Platform for consumer-facing bookings in violation of applicable law • Transmit data that infringes third-party intellectual property rights • Violate applicable Finnish law, EU law, or the laws of your jurisdiction
5. API Access and Rate Limits
API access is subject to rate limits in your commercial agreement (default: 100 requests per second per API key). Persistent abuse may result in suspension. API keys are issued per organisation and must not be shared. Keys may be rotated or revoked at any time via the Partner Portal.
6. Payment and Billing
Fees, commission rates, and wallet requirements are set out in your commercial agreement. All fees are invoiced in EUR unless otherwise agreed. Invoices are due within 30 days. Late payments accrue interest at 8% per annum above the ECB base rate under Finnish law.
7. Data and Privacy
Both parties will comply with GDPR and Finnish data protection law. Where Escapra processes personal data on your behalf, a Data Processing Addendum (DPA) applies, available at escapra.com/legal/privacy. All data is processed in the EU. No data is transferred to third countries without appropriate safeguards.
8. Intellectual Property
Escapra retains all intellectual property rights in the Platform, API, and documentation. You receive a limited, non-exclusive, non-transferable licence to use the Platform for purposes in your commercial agreement. You retain rights in your own data. By submitting data to the Platform, you grant Escapra a licence to process it for the purpose of delivering the services.
9. Service Levels
Escapra targets 99.9% monthly uptime on the customer-facing API. Planned maintenance will be communicated 48 hours in advance via the Partner Portal and status.escapra.com. Service credits for downtime below the target are set out in the SLA policy at escapra.com/sla-support and are the sole remedy for availability failures.
10. Limitation of Liability
To the maximum extent permitted by Finnish law, Escapra's total aggregate liability shall not exceed total fees paid by you in the 12 months preceding the claim. Escapra is not liable for indirect, consequential, or incidental damages including lost profits or data loss. Nothing limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
11. Term and Termination
These Terms remain in effect for the duration of your commercial agreement. Either party may terminate for material breach with 30 days' written notice if not cured. Escapra may suspend access immediately for non-payment, suspected abuse, or legal requirement. Data export requests must be submitted within 30 days of termination.
12. Governing Law and Disputes
These Terms are governed by the laws of Finland. Disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the District Court of Espoo (Espoon käräjäoikeus).
13. Changes to These Terms
Escapra may update these Terms with 30 days' notice to registered customers by email and via the Partner Portal. Continued use after that date constitutes acceptance.
