Hotel Connectivity Agreement

Hotel Partners: This Agreement applies to hotel properties connecting their PMS to the Escapra platform. By completing the OAuth connection flow, the Hotel Partner accepts these terms.

1. Parties & Scope

This Hotel Connectivity Agreement ("Agreement") is entered into between Escapra OY, a company registered in Finland with its registered office at Rummunlyöjänkatu 11 E 034, 02600 Espoo, Finland ("Escapra") and the hotel property completing the PMS connection flow ("Hotel Partner"). This Agreement governs the technical connection of the Hotel Partner's Property Management System (PMS) to the Escapra distribution platform, and the commercial relationship arising from that connection. It supplements and is incorporated into Escapra's Terms of Service.

2. Connection & Authorisation

Hotel Partner grants Escapra read access to rate, availability, and unit group data via the OAuth 2.0 authorisation flow provided by the Hotel Partner's PMS provider. Escapra may not modify, update, or override rates or availability in the Hotel Partner's PMS without the Hotel Partner's explicit prior written consent. The Hotel Partner may revoke Escapra's access at any time by removing the authorisation within their PMS settings. Revocation takes effect immediately and Escapra will cease transmitting data within 15 minutes of revocation.

3. Booking Flow

Escapra transmits booking requests originating from authorised B2B buyers to the Hotel Partner's PMS via the connected integration. The Hotel Partner's PMS is the system of record for all bookings. Escapra does not guarantee any minimum booking volume. Escapra acts as a technology intermediary and is not a party to the booking contract between the Hotel Partner and the B2B buyer.

4. Commission

Hotel Partner agrees to pay Escapra a commission of 2% of the confirmed booking gross value (excluding applicable taxes and levies). Commissions are invoiced monthly on the 1st of each calendar month, covering all completed stays in the prior month. Payment is due within 15 days of invoice date. All amounts are invoiced in EUR unless an alternative currency is agreed in writing. Commission applies only to completed stays — stays that have checked out and not been disputed within the settlement window.

5. Cancellations & No-Shows

No commission is charged on bookings that are cancelled prior to the arrival date, or on confirmed no-shows where the guest did not arrive and a charge was not collected. Escapra will transmit cancellation notices to the Hotel Partner's PMS within 15 minutes of the cancellation being confirmed on the Escapra platform. Hotel Partner remains responsible for applying their own cancellation policy to the guest.

6. Data & Privacy

Escapra processes the following guest personal data solely for the purpose of booking confirmation and transmission to the Hotel Partner's PMS: guest full name, email address, and phone number. This data is not sold, rented, or otherwise disclosed to third parties for commercial purposes. Full details of Escapra's data handling practices are set out in the Escapra Privacy Policy and the Data Processing Agreement (DPA), both available at escapra.com/legal/. Where Escapra processes personal data on behalf of the Hotel Partner, the DPA governs the relationship and Escapra acts as Processor.

7. Intellectual Property

Hotel Partner retains all rights, title, and interest in its rate data, availability data, property content, and other materials provided through the PMS connection. Hotel Partner grants Escapra a non-exclusive, non-transferable, revocable licence to access, process, and transmit this data solely for the purpose of delivering the Escapra platform services to authorised B2B buyers, for the duration of this Agreement.

8. Term & Termination

This Agreement commences on the date the Hotel Partner completes the PMS OAuth connection flow and continues until terminated by either party. Either party may terminate this Agreement by providing 30 days' written notice to the other party. The Hotel Partner may also effect immediate termination at any time by revoking Escapra's OAuth authorisation in their PMS settings. Upon termination, Escapra will cease processing the Hotel Partner's data and will delete or return personal data in accordance with the DPA.

9. Governing Law

This Agreement is governed by the laws of Finland. Any disputes arising out of or in connection with this Agreement that cannot be resolved by good-faith negotiation shall be referred to the District Court of Espoo (Espoon käräjäoikeus), Finland.
